SERVICE PROVIDED BY KWAN HEI GLOBAL PTE. LTD. IS SUBJECT TO THE FOLLOWING TERMS AND CONDITIONS
IMPORTANT NOTICE
Please read the following terms and conditions carefully. By accessing the KHG website, you acknowledge that you have read all the terms and conditions and you agree to be bound by them.
We also recommend that you store or print off a copy of the Agreement (including all policies) for your records.
1. SERVICES
KHG provides currency remittance services for personal and/or commercial purposes. KHG cannot trade with the Client if the Client is seeking to profit by pure speculation on currency movements without having a genuine reason for wanting to exchange currency. KHG can only trade with a Client if the Client has the capacity and authority to trade and is acting on its own account and not on behalf of others.
2. CLIENT INSTRUCTIONS AND AUTHORITY
The Client may give KHG instructions in writing or by electronic means, including via the email and KHG online system, and on each occasion does so entirely at the Client’s own risk.
The Client agrees that all instructions given to KHG on its behalf by any person authorized to act on its behalf shall be legally binding upon the Client in accordance with these Conditions. The Client authorizes KHG to accept and act upon any instructions that KHG reasonably believes are from the Client, whether or not they are actually from the Client. Furthermore, KHG is under no duty or obligation to challenge or make any inquiries concerning any instructions that KHG believes in good faith to be genuine from the Client.
3. ACCOUNT SET UP AND ACTIVATION
The Client will on the completion of the registration process be allocated a unique identifier known as the Client’s account number. This should be used in all communications by the Client with KHG and must be kept confidential and secure by the Client.
KHG will undertake the verification of the identity of the Client prior to undertaking transactions for the Client as required under Anti-Money Laundering/Counter-Financing of Terrorism (AML/CFT) and other related legislation. KHG, may from time to time repeat this verification, require additional information, and/ or documents, and or undertake credit checks. The Client’s use of an account with KHG is subject at all times to KHG’s satisfaction with the Client’s response to all such requests.
As part of the account setup process, the Client shall be required to provide KHG with an email address, a postal address, and a mobile phone number to be used by the Client in providing instructions to KHG in relation to the account. Subject to KHG being able to verify each of these addresses and phone numbers to KHG’s satisfaction each will be a “Registered Email Address”, “Registered Address”, “Registered Phone Number” or “Registered Mobile Number” from which KHG will accept and rely upon communications in relation to the account and which the Client hereby confirms are authorized by the Client as such.
If the Client wishes to change a Registered Email Address, Registered Address, or Registered Mobile Number, the Client must contact KHG at info@khg.sg to do so. KHG will require appropriate verification of the replacement details and will not accept instructions from any such replacement email address, address, phone or mobile number until they have been registered to KHG’s satisfaction.
4. NO FINANCIAL ADVICE
The Information contained in this Website does not constitute investment or financial advice, and nothing relating to the provision of the information herein shall be construed as creating a fiduciary, financial, or other advisory relationship between KHG and the user or any other third party. Any comments or statements made are not a recommendation that a particular course of action is suitable for you and should not be regarded as investment advice. Before making any investment decision on the basis of any reports or information provided, you must read any relevant disclosure document and make your own investigations regarding the accuracy, reliability, and completeness of this information. You should also seek expert professional advice about the offer in light of your particular financial circumstances and particular investment needs.
5. PAYMENT AND TRANSFER
Cleared funds for payment of the Contract by the Client must be received by KHG at least one business day before the value date of the Contract a business day is 9 am to 5 pm Monday to Friday excluding Bank Holidays and Public Holidays in Singapore.
All currency will be sent by electronic transfer to the bank account detailed in the Beneficiary Details provided:
- Cleared funds have been received in full by KHG at least one full business day before the day of transfer; and
- The Beneficiary Details have been received by KHG in accordance with these Conditions; and
- the Beneficiary Details have been confirmed in accordance with any authentication requirements applied by KHG in its sole discretion from time to time (“Authentication”); and
KHG will accept payment from the Client’s bank account and will not be required to, but may, at its sole discretion, accept payments from third parties unless a prior agreement has been made, for example, where payment is to be made from the Client’s solicitor’s account.
The Client must make all payments in full without any deduction, set-off, counterclaim, or withholding of any kind. All transfers by the Client to KHG should include the Client’s account number and contract number as a reference as this minimizes possible delays in allocating the funds received correctly.
Once a transfer has been made by KHG the Client cannot cancel it.
If the Client wishes to change or correct the Beneficiary Details supplied or confirmed by the Client, the Client must contact the KHG accounts team as soon as possible and in any event prior to the payment date and time contained in the Beneficiary Details. KHG will advise the Client if KHG is able to withdraw any payment instructions already transmitted to the banks and the original Beneficiary Details shall continue in force unless and until the Client receives confirmation in writing from the KHG account’s team that the transfer has been cancelled.
KHG will not make a transfer if:
- the information the Client has supplied is unclear, incorrect or incomplete; or
- the Client is in breach of any part of these Conditions; or
- KHG are not satisfied for any reason that it has received adequate and timely Authentication of the Beneficiary Details; or
- KHG suspect fraud or other illegal activity; or
- KHG has any legal or regulatory reason; or
- KHG’s considers that its business reputation may be significantly compromised.
6. CUSTOMERDUEDILIGENCE
To meet our obligations under Applicable Law, before we provide our Services to you
and from time to time during our provision of Services to you, we may carry out customer due diligence checks on you, your directors, partners, ultimate beneficial owners, and employees (as relevant) and Authorized Users together with any parties involved in your transactions or use of the Services. You must provide us with complete, accurate, and up-to-date information at all times. You will promptly provide any additional information we require at any time, at the latest within two (2) Business Days of a request from us. You acknowledge that we may not provide you with any of our Services until we have received all the information we require. We will not be responsible for any loss arising out of your failure or delay in providing us with the information we require.
You agree that we may make, directly or using a third party, any inquiries we believe are necessary to verify information you provide to us, including checking commercial databases or credit reports. We may keep records of such customer due diligence checks in accordance with Applicable Law.
You agree that our provision of, and your ability to use, the Services is subject to:
- successful completion of the initial, and any subsequent, customer due diligence checks including credit evaluations (if applicable); and
- there being no material changes to your credit status during the term of the
Terms.
7. Warrant
7.1 Customer warranties. The Customer represents and warrants and undertakes on an ongoing basis that:
(a) if the Customer is natural person, the Customer is at least eighteen (18) years of age;
(b) if the Customer is a company, the Customer is a company duly incorporated under the laws of its place of its formation;
(c) it has full capacity, authority and all necessary licences, permits and consents to enter into and to exercise the rights, and perform its obligations under, the Terms;
(d) its entry into and performance of the Terms do not:
(i) conflict with or result in the breach of or default under any provisions of the Customer’s articles of incorporation or association, by-laws or any other constituent documents; and
(ii) conflict with or result in the breach of any Applicable Law or other restrictions or obligations that the Customer’s business is subject to;
(e) it will provide KHG with accurate, up-to-date and complete customer due diligence information and data at all times; and
(f) it will use the Services only for lawful purposes and in compliance with the applicable Terms;
(g) it will comply with all Applicable Laws in connection with the Terms and the performance of its obligations under the Terms; and
(h) it will not use the Services, directly or indirectly, for any fraudulent undertaking or in any manner so as to interfere with the operation of the Services.
7.2 Conduct
The Customer is solely responsible for any use of the Services, the Webapp and other features of the KHG Platform, including the content of any data or transmissions it executes through the KHG Platform, or by any Authorised User. The Customer will use all reasonable endeavours to ensure that no unauthorised person will or could access the KHG Profile, any of the Services or other features of the KHG Platform or the Webapp. The Customer will not interfere with, disrupt, or cause any damage to other users of the KHG Platform, the Webapp or the Services.
7.3 Disclaimers
To the extent permitted by law, KHG makes no warranties, guarantees or representations of any kind with respect to the KHG Platform, the Webapp or the Services. All warranties, conditions and terms, whether express or implied by statute, common law or otherwise (including any implied warranties of merchantability, satisfactory quality or fitness for a particular purpose or non-infringement of third party rights) given by KHG are excluded to the extent permitted by law. In particular, KHG:
(a) does not make any commitments about the content or data within the KHG Platform, the specific functions of the Services or its accuracy, reliability, availability or ability to meet the Customer’s needs;
(b) does not guarantee that the Services will operate uninterrupted or error-free, will always be available, contains and/or displays information that is current or up-to-date, and will be free from bugs or viruses, or never be faulty;
(c) may occasionally have to interrupt the Customer’s use of the Services for operational, security or other reasonable reasons. In such a case, KHG will restore access as quickly as practicable; and
(d) does not offer financial advice and the Customer must not treat any information or comments by KHG as financial advice.
7.4 Non-reliance
- KHG may work with third parties, including other KHG Affiliates, to provide the Services. If the Customer receives information from KHG regarding or marked or indicated as provided by such third parties, the Customer will not rely on such information and will not make any claims against such third parties or KHG in relation to such information. The Customer bears all risk and responsibility if it chooses to rely on such information.
The Client should be aware that banks have fixed cut-off times for the receipt and dispatch of electronic payments and KHG has no liability (including as a result of delay or failure of any transaction) arising from or caused by the late arrival of funds or from the late receipt of instructions.
KHG has no control over the allocation of funds by the bank to which the funds have been sent and KHG has no liability for any delay in or failure from the late arrival of funds. The Client should be aware that it can take more than default business days for the funds to clear.
